Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and KosmicSports LLC, a Pennsylvania limited liability company and a wholly‑owned subsidiary of Kosmic Edge LLC ("KosmicSports," "we," "us," or "our"), governing your access to and use of kosmicsports.com, our subdomains, applications, and related services (the "Services").

By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

KosmicSports is currently offered as an early‑access product. Features may change, and some functionality may be limited, unavailable, or offered without charge during this period.

1. Who May Use the Services

  • You must be at least 18 years old (or the age of majority where you live) to create an account and agree to these Terms.

  • Minors may participate only through a parent or legal guardian, or an authorized organization, who agrees to these Terms on their behalf and supervises their use. See our Children's Privacy Notice.

  • If you use the Services on behalf of an organization, league, or team, you represent that you are authorized to bind that entity, and "you" includes that entity.

2. Accounts and Security

  • You agree to provide accurate information and to keep it current.

  • You are responsible for safeguarding your login credentials and for all activity under your account. Enable multi‑factor authentication where offered.

  • Notify us promptly at [email protected] of any unauthorized use or security concern.

  • We may suspend or terminate accounts that violate these Terms or that we reasonably believe create risk or legal exposure.

3. Organizations, Leagues, and Roles

The Services let organizations and leagues manage members, registrations, rosters, schedules, standings, payments, and communication. If you join an organization or league:

  • That entity (our "Customer") administers your participation and controls much of the data and settings related to it.

  • Your access depends on the role assigned to you (for example, administrator, coach, parent/guardian, player, or official).

  • Disputes about participation, eligibility, fees, refunds, schedules, or discipline are between you and the relevant organization or league. KosmicSports is a software provider and is not a party to those relationships.

4. Payments, Fees, and Refunds

  • Some Services involve payments (for example, registration fees set by an organization or league). Those amounts, terms, and refund policies are set by the organization or league, not by KosmicSports, unless we state otherwise.

  • Payments are processed by third‑party payment processors. By submitting a payment, you agree to their terms and authorize the charge.

  • You are responsible for the accuracy of payment information and for any applicable taxes that the organizer indicates.

  • During early access, fees for the KosmicSports platform itself may not yet apply; we will provide notice before introducing platform charges to you.

5. Acceptable Use

You agree not to:

  • use the Services unlawfully or in violation of any applicable law, rule, or regulation;

  • upload or transmit content that is unlawful, harassing, abusive, defamatory, hateful, infringing, or harmful, especially toward minors;

  • impersonate any person or entity or misrepresent your affiliation;

  • access data or accounts that are not yours, or attempt to bypass security, rate limits, or access controls;

  • probe, scan, scrape, or test the vulnerability of the Services without our written permission;

  • interfere with or disrupt the Services or the networks and infrastructure that support them;

  • introduce malware or use the Services to send spam or unsolicited messages;

  • reverse engineer or copy the Services except as permitted by law.

We may investigate and take appropriate action, including removing content and suspending or terminating access.

6. User Content

  • "User Content" means content you submit through the Services (for example, profiles, messages, photos, rosters, and form responses).

  • You retain ownership of your User Content. You grant KosmicSports a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, display, and transmit your User Content solely to operate and provide the Services to you and your organization.

  • You represent that you have the rights necessary to submit your User Content and that it does not violate these Terms or the rights of others.

  • You are responsible for your User Content. We may remove content that violates these Terms or the law.

7. Our Intellectual Property

The Services, including software, design, text, graphics, logos, and trademarks (including "KosmicSports" and related marks), are owned by KosmicSports or its licensors and are protected by intellectual‑property laws. We grant you a limited, revocable, non‑exclusive, non‑transferable license to use the Services as intended. You may not use our names, logos, or branding without our prior written permission.

8. Third‑Party Services

The Services may integrate with or link to third‑party products (for example, payment processors, analytics, email, and mapping). Your use of those products is governed by their own terms and privacy policies, and we are not responsible for them.

9. Early Access; Availability; Changes

  • The Services are provided on an early‑access basis and may contain bugs or change at any time. We may add, modify, suspend, or discontinue features without liability.

  • We aim for high availability but do not guarantee uninterrupted or error‑free operation.

  • We may modify these Terms. When we make material changes, we will update the "Last Updated" date and provide reasonable notice. Continued use after changes become effective constitutes acceptance.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT DATA WILL BE ACCURATE OR PRESERVED. KOSMICSPORTS IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY ORGANIZATION, LEAGUE, COACH, OFFICIAL, PARENT, PLAYER, OR OTHER USER.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOSMICSPORTS AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID KOSMICSPORTS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless KosmicSports and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your User Content, your violation of these Terms, or your violation of any law or the rights of another.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Services. Upon termination, the rights granted to you end. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict‑of‑laws rules. You agree that the state and federal courts located in Northampton County, Pennsylvania (or the federal courts whose district includes it) will have exclusive jurisdiction and venue over any dispute, and you consent to personal jurisdiction there.

15. Miscellaneous

  • Entire agreement. These Terms, the Privacy Policy, and any policies referenced here are the entire agreement between you and KosmicSports regarding the Services.

  • Severability. If any provision is held unenforceable, the rest remain in effect.

  • No waiver. Our failure to enforce a provision is not a waiver.

  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

  • Notices. We may provide notices through the Services or by email.
